Job Overview
Absa Bank is looking for a Legal Counsel & Company Secretary to manage legal, regulatory, and corporate governance functions. This role requires a qualified legal professional with expertise in banking law, compliance frameworks, and corporate governance. The successful candidate will play a key role in ensuring regulatory compliance, managing legal risks, and supporting corporate decision-making.
Key Responsibilities
1. Legal & Regulatory Risk Management
✅ Ensure compliance with legal and regulatory frameworks.
✅ Support business areas with legal risk management.
✅ Advise on regulatory compliance, sanctions, financial crime, and money laundering.
✅ Manage relationships with external lawyers and control legal expenditure.
2. Company Secretarial & Corporate Governance
✅ Act as the key liaison between the Board, Management, and Absa Group.
✅ Ensure compliance with corporate governance standards and Group Governance Framework.
✅ Coordinate and prepare for Board & Committee meetings.
✅ Maintain statutory records and oversee regulatory filings.
✅ Provide corporate governance training to Board members.
3. Risk & Compliance
✅ Monitor corporate governance developments and ensure compliance.
✅ Assist in internal and external audits related to governance and legal matters.
✅ File statutory returns and manage regulatory notifications.
✅ Advise on corporate legal policies and procedures.
Minimum Requirements
📌 Education & Qualification:

Bachelor’s Honours Degree in Law (Required)

Admitted Advocate
📌 Experience & Expertise:
-
Qualified legal experience (private practice or in-house, preferably in banking or commercial law).

Knowledge of Banking Law, Financial Services Compliance, and Anti-Money Laundering frameworks.

Experience in corporate governance, board management, and regulatory compliance.

Strong skills in contract drafting, civil litigation, and HR & industrial relations law.
